OldGrub Terms of Use

1. Acceptance of These Terms

By accessing or using OldGrub (the "Service"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

OldGrub is an online platform for storing, organizing, sharing, preserving, and adapting recipes, family stories, photos, scans, notes, audio, video, and related materials.

We may update, improve, suspend, or discontinue any part of the Service at any time.

3. Eligibility

You may use the Service only if you are legally able to enter into these Terms under the laws that apply to you.

4. Accounts and Security

You are responsible for:

  • maintaining the confidentiality of your account credentials;
  • all activity that occurs under your account; and
  • promptly notifying us of any unauthorized access or suspected security issue.

We may suspend or restrict access to accounts where reasonably necessary to protect users, the Service, or legal rights.

5. Family Spaces and Shared Access

OldGrub may allow you to create a private family space and invite other users.

If you create or manage a family space, you are responsible for inviting only people you are authorized to share content with. We are not responsible for disputes between family members or other users regarding access, authorship, ownership, editing rights, deletion, inheritance, or control of shared content.

6. User Content

"User Content" means any recipe, image, scan, text, comment, story, audio, video, metadata, or other material uploaded, posted, stored, transmitted, or shared through the Service.

Ownership

You retain ownership of your User Content. OldGrub does not claim ownership of your User Content.

License to Operate the Service

By uploading or submitting User Content, you grant YourCIO Inc. a non-exclusive, worldwide, royalty-free license to host, store, copy, format, process, transmit, display, back up, and otherwise use your User Content only as reasonably necessary to:

  • provide, operate, and maintain the Service;
  • enable sharing with the users you authorize;
  • improve search, organization, accessibility, and core functionality;
  • perform backups, security monitoring, fraud prevention, debugging, and technical support; and
  • provide AI-assisted features that you request or enable.

This license ends when the relevant User Content is permanently deleted from the active Service, except to the extent that content remains in routine backups for a limited period or must be retained for legal, compliance, security, fraud-prevention, dispute-resolution, or technical reasons.

7. Your Responsibilities and Promises

You represent and warrant that:

  • you own your User Content or have all rights necessary to upload and share it;
  • your User Content does not infringe, misappropriate, or violate any copyright, trademark, privacy, publicity, confidentiality, or other rights of any person or entity;
  • your User Content does not violate any law;
  • your User Content does not contain malware, malicious code, or harmful material; and
  • you will not impersonate another person or misrepresent the source, origin, or authorship of content.

You are solely responsible for your User Content and for any reliance placed on it by you or others.

8. Prohibited Conduct

You may not use the Service to:

  • upload, store, or distribute unlawful, infringing, defamatory, abusive, hateful, fraudulent, deceptive, or harmful material;
  • interfere with, disrupt, damage, or gain unauthorized access to the Service or related systems;
  • scrape, copy, reverse engineer, or misuse the Service except as permitted by applicable law;
  • send spam or unauthorized commercial communications through the Service; or
  • submit false legal complaints or false takedown notices.

9. AI-Assisted Features

OldGrub may offer AI-assisted tools, including handwritten recipe extraction, formatting, transcription, search, summarization, substitutions, scaling, and recipe variants such as gluten-free, dairy-free, nut-free, or no-added-sugar versions.

These features are provided for convenience only.

AI-generated or AI-assisted content may be inaccurate, incomplete, misleading, unsafe, or unsuitable for your needs. You must independently review ingredients, labels, substitutions, allergens, cross-contact risks, nutritional suitability, quantities, cooking times, storage instructions, and food-safety issues before preparing or consuming any recipe.

OldGrub does not guarantee that any AI-generated or AI-assisted recipe, suggestion, or variant is safe for allergies, celiac disease, diabetes, medical conditions, religious dietary rules, or any other dietary requirement.

10. No Medical, Nutritional, or Professional Advice

Content available through the Service, whether uploaded by users or produced with AI assistance, is for general informational and personal-use purposes only. It is not medical, nutritional, allergen, legal, or professional advice.

11. Content Moderation and Removal

We may, but are not obligated to, monitor content or activity on the Service. We may remove, restrict, disable access to, or refuse content or accounts that we reasonably believe violate these Terms, applicable law, or the rights of others, or that create risk for users or the Service.

12. Copyright and Rights Complaints

If you believe content on OldGrub infringes your copyright or other legal rights, contact us at jeff@yourcio.ca with enough detail for us to identify the content and review the complaint.

We may remove or disable access to content while we assess a complaint.

13. Paid Plans, Billing, and Payments

If we offer paid subscriptions or one-time paid features:

  • prices, features, and limits will be shown at checkout or on the relevant pricing page;
  • subscriptions may renew automatically unless cancelled before renewal;
  • taxes may apply;
  • except where required by law, fees are non-refundable once paid; and
  • we may change pricing prospectively on notice.

You authorize us and our payment processors to charge the payment method you provide for applicable fees, taxes, and renewals.

14. Third-Party Services

The Service may rely on or integrate with third-party providers, such as hosting, analytics, authentication, email, payment processing, storage, AI, or content-delivery services. We are not responsible for third-party services or their separate terms, policies, or practices.

15. Service Availability and Backups

We do not guarantee uninterrupted availability, error-free operation, or permanent preservation of any content. You are responsible for keeping your own backup copies of important materials.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOURCIO INC. DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, AND RELIABILITY.

Without limiting the above, we do not warrant that:

  • the Service will be uninterrupted, secure, or error-free;
  • content will be accurate, complete, or reliable;
  • recipes will work as expected;
  • AI outputs will be correct, safe, or suitable; or
  • files will never be lost, corrupted, delayed, or unavailable.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOURCIO INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CONTENT, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF YOURCIO INC. FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • the amount you paid us in the 12 months before the event giving rise to the claim; and
  • CAD $100.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

18. Indemnity

You will defend, indemnify, and hold harmless YourCIO Inc. and its affiliates, directors, officers, employees, contractors, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • your User Content;
  • your misuse of the Service;
  • your violation of these Terms; or
  • your violation of any law or third-party rights.

19. Suspension and Termination

You may stop using the Service at any time.

We may suspend, restrict, or terminate your access at any time if you violate these Terms, create legal risk, or misuse the Service.

Sections that by their nature should survive termination will survive, including provisions relating to ownership, licenses, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

You and YourCIO Inc. agree that the courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, except where applicable consumer-protection law requires otherwise.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Service and update the Effective Date above. Continued use of the Service after the updated Terms take effect means you accept the revised Terms.
